I. Acceptance of Terms & Agency Authorization
By accessing the Uncharted Investments software (the "Software"), you agree to these Terms.

Limited Agency: You hereby appoint Uncharted Investments as your limited agent to transmit
trade instructions to your Alpaca Securities LLC account via OAuth.

Self-Directed Mandate: You acknowledge that this Software is a bridge for your own self-directed
investment decisions. You retain 100% ownership and control over your account.
Your Account, Your Control: Uncharted Investments acts only as a transmission agent.
All investment decisions and account ownership remain solely with you.
II. No Investment Advice (FINRA/SEC Compliance)
Uncharted Investments is a technology platform providing automated technical analysis through the Ashimoto Algorithm.
- Mathematical Generation: All signals (MACD, Heikin-Ashi, EMA 20) are generated purely by mathematical models.

Non-Advisory: Uncharted is not a registered investment advisor, broker-dealer, or fiduciary.
No content within the Software constitutes a recommendation or solicitation to buy or sell any security.
Important: Uncharted Investments does not provide investment advice. All trading signals are
algorithmically generated and should not be construed as personal financial recommendations.
III. Risks of Algorithmic Trading & Mechanical Failure
The user acknowledges that "Project Ashimoto" is an automated system. Trading involves substantial risk:

Hypothetical Performance: Any simulation data presented by the Reporting Service is
backtested/hypothetical and does not represent actual results.

Execution & Slippage: While the system utilizes "Slippage Protection," we cannot guarantee
execution at specific prices. API latency and market liquidity may result in fills different from the Admin signal.

Mechanical Failure: You are responsible for monitoring for "system quirks," WebSocket disconnects,
or "ghost positions." Uncharted is not liable for Alpaca's service interruptions.
Risk Warning: Trading involves substantial risk of loss. Past performance (including backtests)
is not indicative of future results. You could lose some or all of your invested capital.
IV. Supervision & The "Pilot in Command" (FINRA 3110)
In alignment with FINRA 3110 standards, users are required to maintain Active Supervision of their automated systems.

Pilot in Command: The Emergency Stop is a helper utility; you remain the primary supervisor.
You must manually intervene via the Alpaca dashboard if the Software encounters a "High Volatility" regime or critical error.

Master Kill Switch: Admins reserve the right to trigger a global "Club Halt" to protect
member capital during Black Swan events.
You Are The Pilot: Automated systems are tools, not replacements for human judgment.
You must actively monitor your positions and be prepared to intervene manually at any time.
V. The 3-5-7 Risk & Compliance Framework
The Software enforces a disciplined capital protection model:

The 3: Maximum Risk Per Trade
Maximum 3% of capital at risk per trade (Stop-Loss).

The 5: Maximum Symbol Exposure
Maximum 5% exposure to any single symbol.

The 7: Minimum Reward-to-Risk
Minimum 7:1 reward-to-risk ratio target.
The Heartbeat: 30-Day Re-Certification
Access is contingent upon a 30-day Re-Certification. Failure to re-verify your ToS or attend the Monthly
Strategy Briefing (validated by code) will result in an automated account lockout.
VI. Data Privacy & Withdrawal Protection
- OAuth Security: Your Access Tokens are encrypted via AES-256 and are opaque to Uncharted staff.
- No-Fund Access: Uncharted does not, and cannot, access bank details or initiate withdrawals.

Communication Consent: You consent to receive SMS alerts every two (2) hours during the final
24 hours of your 30-day compliance window.
Your Funds Are Safe: We have zero access to your banking information or withdrawal capabilities.
Our OAuth scope is restricted to trading operations only.
VII. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNCHARTED INVESTMENTS SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA,
OR INDIRECT DAMAGES RESULTING FROM ALGORITHMIC ERRORS OR MARKET VOLATILITY. YOUR USE OF THE SOFTWARE IS "AS-IS."
VIII. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming,
consistent with the LLC's home state for asset protection purposes.
