Member Service Agreement

Effective Period: 30 Days from Date of Signature

1. Authorization of Trading Authority

By executing this Member Service Agreement ("MSA"), you grant Uncharted Investments LLC limited power of attorney to execute trades on your behalf within your personal Alpaca brokerage account. This authorization is strictly limited to:

  • Signal Execution: Placing buy and sell orders as directed by the Ashimoto 3-5-7 Algorithm.
  • Position Management: Managing open positions including stop-loss, take-profit, and trailing stop orders.
  • Account Synchronization: Reading account data to maintain Fleet alignment.
Trade-Only Scope: This authorization explicitly excludes any ability to withdraw, transfer, or access funds. Your capital remains exclusively under your control.

2. The Ashimoto Strategy & Risk Acknowledgment

You acknowledge that you have reviewed the Strategy Handbook and understand the Ashimoto 3-5-7 risk framework:

  • 3% Hard Stop-Loss: Maximum loss per trade, executed automatically.
  • 5% Partial Exit: Profit-taking tier that locks in gains.
  • 7% Trailing Stop: Trend-following exit mechanism.
Risk Acknowledgment: Trading involves substantial risk of loss. The 3-5-7 framework is designed to manage risk but cannot eliminate it. You may lose some or all of your invested capital.

3. Mandatory Participation & The "9-Meeting" Rule

Uncharted Investments is a high-engagement investment club. To ensure all members are synchronized with current risk parameters, participation is mandatory.

Section 3.1 The 9/12 Requirement

To maintain active status in the Fleet, you must attend or verify the viewing of at least nine (9) Strategy Briefings per calendar year. These monthly meetings cover algorithm updates, risk parameter adjustments, and market regime analysis.

Section 3.2 Tracking & Validation

Attendance is tracked via the Meeting Validation Code system. It is your sole responsibility to ensure your attendance is recorded by:

  • Entering the Validation Code during or immediately after each live meeting, OR
  • Completing the video replay and entering the code within the 24-hour grace period.

Section 3.3 Automatic Revocation

Failure to meet the 9-meeting minimum will result in the immediate and permanent revocation of Fleet access.

4-Strike Rule: Upon the fourth (4th) missed meeting in a rolling 12-month period, your API connection will be severed and your membership terminated. This action is automatic and non-negotiable.

4. The 30-Day Compliance "Heartbeat"

This agreement operates on a 30-day renewal cycle to ensure continuous engagement and informed consent.

Section 4.1 Renewal Requirement

This MSA expires every thirty (30) days from the date of your most recent signature. To maintain uninterrupted trading authorization, you must re-certify before expiration.

Section 4.2 Validation Gate

Authorization for the next 30-day cycle is locked until you provide the current Meeting Validation Code, proving your participation in the most recent strategy update.

Section 4.3 Automatic Halt

Failure to re-certify by the expiration date results in an immediate cessation of all automated trading on your behalf. Your positions will remain open, but no new signals will be executed until you complete the heartbeat process.

The Heartbeat: You will receive reminder notifications at 7 days, 3 days, and 24 hours before expiration. The Meeting Validation Code changes monthly, ensuring you stay current with strategy updates.

5. Execution Variance & Slippage

You acknowledge and accept that trade execution may vary between members due to:

  • Market Conditions: Price movement between signal generation and order fill.
  • Liquidity: Available shares at the target price point.
  • API Latency: Network delays between Uncharted servers and Alpaca.
  • Account Size: Larger orders may experience different fill characteristics.
Slippage Acknowledgment: Your fill prices may differ from the published signal price. This is inherent to distributed execution and does not constitute a defect in the system.

6. Indemnification & Termination

Section 6.1 Liability

You agree to hold Uncharted Investments LLC, its managers, and affiliates harmless for losses occurring during:

  • Safety Halts: Periods when the Club Orchestrator is paused for market conditions.
  • Revocation Periods: Time when your trading is suspended due to non-compliance with Sections 3 and 4.
  • Technical Interruptions: API outages, broker issues, or system maintenance.

Section 6.2 Termination Rights

This agreement may be terminated by either party:

  • By Member: You may terminate at any time via the Individual Kill Switch or by revoking OAuth access through your Alpaca dashboard.
  • By Uncharted: We may terminate for failure to meet the participation minimum, consent expiration, or violation of club policies.
Exit Rights: You retain full control of your Alpaca account at all times. Termination of this MSA does not affect your account ownership or existing positions.

7. Acknowledgment & Acceptance

By maintaining an active membership with Uncharted Investments, you acknowledge that you have read, understood, and agree to all terms outlined in this Member Service Agreement, as well as the Terms of Service, Privacy Policy, and Strategy Handbook.

YOU UNDERSTAND THAT TRADING INVOLVES SUBSTANTIAL RISK OF LOSS AND THAT PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. YOU ARE THE "PILOT IN COMMAND" OF YOUR INVESTMENT DECISIONS.
